1. Agreement to Terms
By accessing or using the Lead Agents Studio website (leadagentsstudio.com) and services ("Services"), operated by Aumi4 ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Services.
2. Description of Services
Lead Agents Studio provides AI-powered services for businesses, including SmartLine — an OpenAI-powered voice and messaging agent for Calls, SMS & WhatsApp — and other automation products. Important: Our Services provide appointment scheduling and lead qualification only. We do not provide medical advice, diagnosis, or treatment.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement. If you are using the Services on behalf of a business, you represent that you have authority to bind that entity.
4. Account & Access
You are responsible for maintaining the confidentiality of any credentials or access provided to you. You agree to notify us immediately of any unauthorized use.
5. Installation & Setup
Customizations and add-ons are quoted separately based on complexity.
Installation includes setup, training the agent on your business, channel connection, testing, and launch as described on the sales page for each product.
Typical launch timeline is 7 business days from onboarding start.

6. Usage-Based Billing
After installation, ongoing costs are usage-based (pay-as-you-go). See our Billing Policy for full details on rates, margins, and payment terms.
7. Acceptable Use
You agree not to: use the Services to provide medical advice or diagnosis; attempt to reverse-engineer, decompile, or extract source code from the Services; send spam, unsolicited messages, or deceptive content through the system; use the Services for any unlawful purpose or in violation of any applicable law.
8. Intellectual Property
Your Content: You retain ownership of your branding, offers, and content inputs.
Our IP: The platform, scripts, AI models, and system architecture remain the property of Lead Agents Studio / Aumi4.
9. Consent & Messaging Compliance
We comply with applicable messaging regulations including TCPA (US), CASL (Canada), and GDPR (EU/UK) to the extent applicable.
All automated messages include opt-out instructions (STOP).
You are responsible for ensuring that leads who enter your funnel have provided appropriate consent to be contacted.
10. Disclaimers
Message delivery depends on third-party carriers (Twilio, WhatsApp, SMS networks) and is not guaranteed.
We do not guarantee specific results, conversion rates, or lead volumes.
Services are provided "as is" without warranties of any kind, express or implied.
11. Limitation of Liability
To the maximum extent permitted by law, Lead Agents Studio / Aumi4 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
12. Termination
We may suspend or terminate access immediately for violations of these Terms.
Upon termination, access to the system will be revoked. Outstanding usage charges remain payable.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.
A one-time setup fee applies per product. The fee covers agent training, channel connection, testing, and launch. See the relevant product page for current pricing. Installment options may be available at checkout via Affirm, Afterpay, or Klarna (subject to eligibility, region, and currency).
2. Monthly Usage Costs (Pay-As-You-Go)
After installation, you pay only for what you use. There is no monthly subscription fee.
What's included in usage billing: OpenAI ChatGPT conversation usage (qualification + scripting); Messaging + calls (WhatsApp, SMS, phone minutes).
Platform margin: All usage items are billed at vendor list price + 20% platform margin. This covers orchestration, monitoring, error handling, and consolidated billing.

4. Payment Method
Monthly usage charges are billed to the card on file. We accept major credit/debit cards (Visa, Mastercard, Amex). All payments are processed securely via Stripe.
5. Usage Caps & Alerts
You can set a monthly usage cap to control spending. We provide alerts when you approach your cap. A monthly usage summary is sent by email.
6. Managed Service (Optional)
Self-Managed (included): You run the system; we provide tools and reporting.
Managed by us (+$500/month): Weekly tuning, deliverability checks, objection improvements, reporting + fixes.
You can enable or disable managed service at any time after installation.
7. Invoicing
Setup fee: Invoiced at time of purchase.
Monthly usage: Invoiced at the end of each calendar month.
Managed service: Invoiced monthly in advance.
All invoices are sent via email and available in your Stripe dashboard.
8. Late Payments
If payment fails, we will retry up to 3 times over 7 days. If payment remains unsuccessful, the system may be paused until payment is resolved. We will notify you before any service interruption.
9. Currency
All prices are listed in USD. If you pay from a non-US card, your bank may apply exchange rates and fees.

Refund & Return Policy

We want you to be confident in your purchase. This policy covers all payment types: setup fees and monthly usage charges.
1. Setup Fee — Refund Policy
Before work begins
If you cancel before onboarding starts (before Day 1 kickoff), you receive a full refund of the setup fee.
During installation (Days 1–7)

Once the system is live, the setup fee is non-refundable. The work has been completed and delivered.
2. Monthly Usage Charges — Refund Policy
Usage charges are generally non-refundable as they represent real third-party costs (messages sent, calls made, OpenAI ChatGPT usage). If you believe there is a billing error, contact us within 30 days of the charge. We will investigate and correct any verified errors.
3. Managed Service (+$500/month) — Refund Policy
Managed service is billed monthly in advance.
Pro-rata refund is available if you cancel within the first 7 days of a billing cycle.
After 7 days, the current month is non-refundable.
You may cancel managed service at any time — it will stop at the end of the current billing cycle.
Include your name, email, payment date, and reason for the request.
We will respond within 2 business days.
Approved refunds are processed within 5–10 business days to your original payment method.
5. Disputes & Chargebacks
Before filing a chargeback with your bank, please contact us first at support@leadagentsstudio.com. We resolve most issues within 48 hours. Filing a chargeback without contacting us first may result in account suspension.
6. Satisfaction Guarantee
We stand behind our work. If the system is not performing as described after launch, contact us and we will work to resolve the issue at no additional charge. Our goal is a working system that handles your leads — if we can't deliver that, we'll work with you on a fair resolution.
