1. Agreement to Terms

By accessing or using the Lead Agents Studio website (leadagentsstudio.com) and services ("Services"), operated by Aumi4 ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Services.

2. Description of Services

Lead Agents Studio provides an AI-powered system for aesthetic clinics and medical-adjacent businesses, including:

• AI Creative Engine: Owner-avatar video generation, UGC-style ad creation, and custom b-roll production.
• Follow-Up & Booking Engine: Automated lead qualification and appointment booking via WhatsApp, SMS, and phone calls.
• Demo System: A live demonstration that sends real messages to prospects.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement. If you are using the Services on behalf of a business, you represent that you have authority to bind that entity.

4. Account & Access

You are responsible for maintaining the confidentiality of any credentials or access provided to you. You agree to notify us immediately of any unauthorized use.

5. Installation & Setup

• The one-time installation fee is $5,000 USD.
• Installation includes Creative Engine Setup, Follow-Up & Booking Engine Setup, Testing, and Launch as described on the sales page.
• Typical launch timeline is 7 business days from onboarding start.
• Customizations and add-ons are quoted separately based on complexity.

6. Demo Credits

• The $5 demo credit covers real messaging costs and is non-refundable once messages are sent.
• If you proceed to full installation, the $5 is credited toward your setup fee.
• Demo credits do not expire but are single-use per demo session.

7. Usage-Based Billing

After installation, ongoing costs are usage-based (pay-as-you-go). See our Billing Policy for full details on rates, margins, and payment terms.

8. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Send spam, unsolicited messages, or deceptive content through the system.
• Use the AI-generated content to impersonate real individuals without consent.
• Attempt to reverse-engineer, decompile, or extract source code from the Services.
• Use the Services to provide medical advice or diagnosis.

9. Intellectual Property

• Our IP: The platform, scripts, AI models, and system architecture remain the property of Lead Agents Studio / Aumi4.
• Your Content: You retain ownership of your clinic's branding, offers, and content inputs. AI-generated creatives produced for your account are licensed to you for your business use.
• AI Actors: UGC-style creatives use AI-generated actors (not real patients). These actors are generated uniquely for each client and are not shared across accounts.

10. Consent & Messaging Compliance

• You are responsible for ensuring that leads who enter your funnel have provided appropriate consent to be contacted.
• All automated messages include opt-out instructions (STOP).
• We comply with applicable messaging regulations including TCPA (US), CASL (Canada), and GDPR (EU/UK) to the extent applicable.

11. Disclaimers

• Services are provided "as is" without warranties of any kind, express or implied.
• We do not guarantee specific results, conversion rates, or lead volumes.
• AI-generated content is for marketing purposes. It is not medical advice.
• Message delivery depends on third-party carriers (Twilio, WhatsApp, SMS networks) and is not guaranteed.

12. Limitation of Liability

To the maximum extent permitted by law, Lead Agents Studio / Aumi4 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

13. Termination

• Either party may terminate with 30 days written notice to support@smartlineagents.com.
• Upon termination, access to the system will be revoked. Outstanding usage charges remain payable.
• We may suspend or terminate access immediately for violations of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use after changes constitutes acceptance.
